We of above average height do hereby join together to form an organization for the social betterment and self-development of tall people.
This Club shall be known as THE TALL CLUB OF ORANGE COUNTY. Hereafter known as the Club.
To establish a non-profit organization for the social betterment and self-development of tall men and women. The Club will also donate time and energy to local, national, or international charities as seen fit by the Club.
The Club shall conduct its business activities in and around the County of Orange, in the State of California.
This Constitution is the governing guideline for the Club. The Constitution takes precedence over all Club By-Laws and shall be judged the final word in Club affairs. In the event of conflicts with the Constitution of the Tall Clubs International, the International Constitution shall take precedence. This Constitution is null and void wherein it contradicts State and Local laws and The Constitution of the United States of America.
There shall be four types of membership: Regular, Spousal, Life and Honorary.
To be eligible for regular membership, an applicant must meet the following requirements:
Minimum height for men shall be 6-feet, 2-inches unaugmented.
Minimum height for women shall be 5-foot, 10-inches unaugmented.
Minimum age for membership shall be 21 years of age.
The applicant must be sponsored by a current regular club member and voted into membership during a normal business meeting.
If applying couple is married, husband and wife must meet membership qualifications.
Membership obligations include attending club events when possible and prompt payment of dues and fees.
A spouse of a regular member that does not meet the height requirement for regular membership is considered a Spousal member and will enjoy rights and privileges of regular membership with the following exceptions, a Spousal member may not vote or hold any position on the board.
Regular and Spousal members will pay dues at the same rate as other married couples.
Spousal Membership expires with the termination of the other spouse’s membership or dissolution of the marriage.
Life members may be nominated by the governing board or any lay member of the club. Life members shall meet all of the regular membership qualifications; shall have a voice in club affairs and a vote at membership meetings. Life members dues are waived for their lifetime. Membership will be granted at the discretion of the governing board of the club.
Honorary members may be nominated by the governing board or any Lay member of the Club. An Honorary member shall have no voice in club affairs, no vote during business meetings and shall be considered a member in name only. Membership will be granted at the discretion of the governing board of the Club.
The Club shall have the right to suspend or expel any member from the rights and privileges of Club membership as provided in the By-laws.
The officers of the Club shall include a President and Executive Vice-President as well as other officers as deemed necessary for the good governance of the Club. The Club shall also have a governing Board of Directors, hereafter referred to as the Board, which shall include the immediate past President, and four lay members together with the current elected officers. The Board shall conduct all normal business, normal business being defined as, all decisions regarding: The hiring and discharge of Club employees, regularly scheduled events, and any function deemed normal business by the Board. All Club officers and elected Board members shall be selected as provided in the By-laws of the Club.
A simple majority of elected officers and Board members shall constitute a quorum for the transaction of Club business.
Amendments to the Constitution of the Tall Club of Orange County may be proposed at any special meeting called for that purpose.
Meetings called for the proposal of constitutional amendments must be published in the monthly newsletter of the Club.
A quorum for constitutional amendment proposal meetings shall consist of at least two board members and one club officer and the Constitution committee chairperson. Other lay members of the Club are encouraged to participate and shall be allowed entrance and a full voice in any proceedings. Non-attendance by lay members shall not postpone or invalidate the meeting.
Amendments to the Constitution must be approved by special vote announced one month in advance of the meeting. Constitutional amendments must be approved by:
All proposed amendments must be submitted in writing to the governing Board; published in the Club newsletter and read to the Club at the business meeting immediately prior to the Constitutional meeting.
All regular Club members will be mailed a copy of the proposed amendments by mail at least one week in advance of the constitution meeting. Should a member not receive a copy by mail or other manner, it shall not void any approved amendments unless their vote change the outcome of the vote.
A quorum for a constitutional amendment shall be 20 percent of the regular club membership.
A two-thirds majority of the membership voting at the constitution meeting is required to effect the amendment(s).
Constitutional amendment meetings may take place during regularly scheduled Club events.
